- In late 2023 and 2024 the Department of Justice, Federal Deposit Insurance Corporation, and Office of the Comptroller of the Currency each issued new guidelines regarding their involvement in evaluating bank merger. The new guidelines represent material changes in the way those agencies consider, evaluate, and approve applications involving mergers of financial institutions and transactions involving banks and non-banks. This presentation will review these changes, provide insights into what banks need to do to address the changes, and highlight recommendations to help financial institutions successfully accomplish such transactions under the new guidelines.
